Welcome to The Trusty Books. These Terms of Service (“Terms”) govern your use of our website and services. By signing up or using our services, you agree to these Terms.

1. Services Overview

The Trusty Books provides bookkeeping services, tax preparation support, client portal access, and expert consultation on a subscription basis according to your selected plan.

2. Eligibility

To use our services, you must be at least 18 years old, operate a business in the United States, provide accurate information, and have the legal authority to enter into this agreement.

3. Account Registration

You are responsible for providing accurate information, keeping your login credentials secure, and notifying us immediately of any unauthorized access.

4. Subscription and Payment

Subscriptions are billed monthly or annually via Stripe. All fees are non-refundable. You may change your plan at any time, with changes taking effect at the next billing cycle.

5. Project Scope & Timeline (Important)

A. Scope Creep & Material Deviation:
Our fixed-fee quotes are calculated based on the transaction volume, complexity, and account count represented by you during the initial review. If the actual work required exceeds your estimated volume by 15% or more, or if undisclosed accounts/entities are discovered, The Trusty Books reserves the right to: (a) Adjust the fee immediately to reflect the actual scope, or (b) Convert the excess work to an hourly rate.

B. Dormancy & Delay Policy:
To ensure efficiency, all required documents must be uploaded within 10 business days of our request. If the project is stalled for more than 30 days due to missing Client information, the project will be placed in ‘Dormancy Status’. A Reactivation Fee of $250 will be required to restart the project. If stalled for over 90 days, the project is considered closed with no refunds.

6. Your Obligations

As a client, you agree to provide timely and accurate documentation and respond promptly to our requests for clarification. You agree not to use our services for illegal or fraudulent activities.

7. Our Responsibilities

We will deliver services according to your plan’s scope, maintain professional standards, and keep your data secure. We are not liable for errors caused by incomplete information you provide.

8. Limitation of Liability

To the fullest extent permitted by law, our total liability is limited to the amount you paid for services in the 12 months prior to the claim. We do not provide tax or legal advice.

9. Service Standards

We provide professional bookkeeping following U.S. GAAP. Our services are provided “as is” without guarantees of specific tax outcomes.

10. Intellectual Property

The Trusty Books name and logo are our intellectual property. You retain ownership of your financial data.

11. Termination

You may cancel at any time. Upon termination, you will lose portal access, and we will provide a final export of your data.

12. Confidentiality

We will keep your business and financial information confidential and secure.

13. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance.

14. Governing Law & Dispute Resolution

Applicable Law: These Terms shall be governed by the laws of Kuala Lumpur, Malaysia.

Online Dispute Resolution (Binding):

• Phase 1 (Informal): Good faith negotiation via video conference for 30 days.
• Phase 2 (Binding Arbitration): Unresolved disputes shall be submitted to binding arbitration conducted virtually (Online) in English.
